1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VRocket Inc ("we," "us," "our") concerning your access to and use of the Yardock website at www.yardock.com and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Yardock provides a platform for freelancers and contractors to create professional profiles with AI-powered chatbots that allows users to:

• Create and manage professional profiles
• Showcase skills, projects, and experience
• Deploy AI chatbots that answer questions about their expertise
• Connect with potential clients and opportunities

3. Account Registration

3.1 Eligibility

You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this age requirement and that all information you provide is accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong password and keep it secure
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others or allow others to access your account
• Log out from your account at the end of each session when using shared devices

3.3 Account Termination

You may delete your account at any time through your account settings. Upon deletion, your account data will be permanently removed, and you will lose access to all stored profile data and processing history.

4. Subscriptions and Payments

4.1 Free Credits

New users can create a basic profile for free to test the Service. Free profiles include limited features and AI chatbot queries.

4.2 Subscription Plans

We offer the following subscription plans:

• Basic: $5/month or $50/year - Enhanced profile features and increased chatbot queries
• Pro: $10/month or $100/year - Premium features, unlimited chatbot queries, and priority placement

Subscription features and limits reset at the beginning of each billing period. Features are activated immediately upon subscription payment.

4.3 Add-on Features

You may purchase additional features and query packs as one-time payments. These never expire and can be used at any time.

4.4 Billing and Renewals

Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged using your selected payment method. All payments are processed securely through Stripe.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will retain access to your monthly credits until the period ends
• No refunds will be issued for the current billing period
• Your account will revert to the free tier at the end of the period
• Purchased credits will be preserved

4.6 Refunds

All subscription and credit purchases are final and non-refundable, except as required by law. If you believe you were charged in error, please contact us immediately.

5. Use of Service

5.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

5.2 Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Attempt to circumvent any security measures or access controls
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Resell or redistribute the Service or its features without our written permission
• Remove, alter, or obscure any proprietary notices on the Service

6. User Content

6.1 Your Content

You retain all rights to the profile content you create on the Service ("Your Content"). By creating Your Content, you grant us a limited license to:

• Store Your Content on our servers
• Process Your Content through AI services (OpenAI) to power your chatbot
• Display Your Content publicly on your profile page

6.2 Content Restrictions

You agree not to upload:

• Illegal content or content that violates any laws or regulations
• Content that infringes on intellectual property rights of others
• Content containing malware, viruses, or other harmful code
• Content that is hateful, threatening, defamatory, or harassing
• Sexually explicit or obscene content
• Personal information of others without their consent (violates privacy laws)

6.3 Content Moderation

We reserve the right to review, monitor, and remove any content that violates these Terms or applicable laws. We are not responsible for user-generated content and do not endorse any content uploaded by users.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, features, text, graphics, logos, and source code, is owned by VRocket Inc and protected by copyright, trademark, and other intellectual property laws. Yardock and our logo are trademarks of VRocket Inc.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without compensation or attribution.

8. Third-Party Services

The Service integrates with third-party services, including:

• OpenAI: For AI-powered chatbot functionality
• Stripe: For payment processing
• Google: For OAuth authentication and analytics
• Supabase: For data storage and authentication

These third parties have their own terms and privacy policies. We are not responsible for their practices or content.

9. Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI Accuracy

While we strive for accuracy, AI-powered chatbots may contain errors or provide incomplete information. We do not guarantee 100% accuracy of chatbot responses. You should verify critical information independently.

9.3 Service Availability

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue the Service at any time without notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VROCKET INC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless VRocket Inc and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your payment method fails
• We cease operations

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, United States.

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class actions or class-wide arbitration.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

15. General

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VRocket Inc regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
